IMPORTANT CONSUMER NOTICE (THAILAND)
These Terms are drafted to comply with the Thai Consumer Protection Act B.E. 2522, the Electronic Transactions Act B.E. 2544, the Personal Data Protection Act B.E. 2562 (PDPA), and applicable Thai civil and commercial law. Nothing in these Terms excludes or limits consumer rights that cannot be waived under Thai law.

1. Parties, Definitions & Scope

These Terms of Use (“Terms”) constitute a legally binding agreement between Kids Compass (Pty) Ltd, a company incorporated in Thailand (“Kids Compass”, “Company”, “we”, “us”, “our”), and any person or entity accessing or using the Kids Compass website, mobile applications, or services (the “Platform”).

Users of the Platform include: - Parents / Users: parents or legal guardians booking Classes for children; and - Providers: schools, early learning centres, playgroups, academies, tutors, instructors, or organisations offering Classes.

“Classes” means children’s educational, artistic, recreational, developmental, or enrichment activities offered by Providers through the Platform.

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms.

2. Nature of the Platform (Marketplace Disclosure)

2.1 Marketplace Only
Kids Compass operates solely as a digital marketplace facilitating discovery, booking, scheduling, and payment for Classes offered by independent Providers.

2.2 No Childcare, Supervision or Educational Role
Kids Compass: - Is not a school, childcare provider, or activity operator; - Does not supervise children; - Does not employ, control, or manage Providers or instructors; - Does not determine curriculum, safety standards, venues, or teaching methods.

This disclosure is made expressly for transparency under Thai consumer protection law.

3. Eligibility, Accounts & Responsibilities

3.1 Parents / Users

Parents represent and warrant that they: - Are at least 18 years old; - Are the parent or legal guardian of the enrolled child; - Have legal capacity under Thai law; - Will maintain accurate and current account information.

Parents are responsible for all activity conducted under their account, including bookings and cancellations.

3.2 Providers

Providers represent and warrant that they: - Are duly registered and authorised to operate in Thailand; - Hold all required licences, permits, and approvals; - Comply with applicable education, labour, safety, tax, and child-protection laws; - Act as independent contractors and not as employees, partners, or agents of Kids Compass.

4. Bookings, Plans, Credits & Payments

4.1 Bookings

All bookings must be made and managed exclusively through the Platform. Circumventing the Platform, including accepting direct bookings from Kids Compass users for the same Classes, is prohibited.

4.2 Plans, Credits & Subscriptions (Parents)

Kids Compass may offer pay-per-class bookings, credit bundles, subscriptions, trials, promotions, or passes.

Credits: - Have no cash value; - Are non-transferable; - May expire as disclosed prior to purchase; - Are non-refundable except where required by mandatory Thai law.

4.3 Pricing Transparency

All prices, fees, cancellation rules, and material terms will be disclosed prior to payment in accordance with the Thai Consumer Protection Act.

4.4 Payments & Billing

By providing a payment method, you authorise Kids Compass to charge applicable fees, subscriptions, penalties, and taxes. Failed payments may result in suspension after reasonable notice.

4.5 Provider Fees & Payouts

Providers receive payouts subject to: - Commission or agreed fees; - Refunds, chargebacks, or adjustments; - Attendance confirmation; - Applicable tax withholding under Thai law.

Payment schedules and commission structures are communicated during onboarding and may be updated with notice.

5. Cancellations, Refunds & Attendance

5.1 Parents

· Cancellations must be made through the Platform;

· Late cancellations or no-shows may result in forfeited credits or fees;

· Refunds will not be unreasonably withheld where required by Thai law.

5.2 Providers

· Providers must honour confirmed bookings;

· Provider-initiated cancellations require prompt notice to Kids Compass;

· Repeated cancellations may result in penalties, suspension, or termination;

· Providers must confirm attendance via the Platform.

6. Provider Obligations (Safety, Welfare & Compliance)

Providers are solely responsible for: - Child safety and welfare; - Instructor qualifications and background checks; - Safe, clean, and lawful facilities; - Emergency and incident procedures; - Compliance with PDPA, tax, consumer protection, and child-related regulations.

Kids Compass may request reasonable evidence of compliance.

7. Provider Content, Reviews & Intellectual Property

7.1 Provider Content

Providers grant Kids Compass a non-exclusive, royalty-free licence to use class descriptions, images, videos, logos, and branding for Platform operation and marketing.

Providers warrant that submitted content is lawful, accurate, and non-infringing.

7.2 Reviews

Parents may leave reviews. Reviews may be publicly displayed. Manipulation, coercion, or incentivisation of reviews is prohibited.

8. User Content (Parents)

Parents grant Kids Compass a non-exclusive, royalty-free licence to use reviews, comments, or images submitted through the Platform. Kids Compass may remove unlawful or harmful content.

9. Risks, Disclaimers & Assumption of Risk

9.1 Assumption of Risk (Parents)

Parents acknowledge that Classes may involve inherent risks including physical activity, tools, materials, and interaction with others.

9.2 Legal Limitation

Nothing in these Terms limits liability for death, personal injury, fraud, or statutory obligations where exclusion is prohibited under Thai law.

9.3 No Medical or Childcare Advice

Kids Compass does not provide medical, childcare, or developmental advice.

10. Data Protection & Privacy (PDPA)

Kids Compass processes personal data in accordance with the PDPA and its Privacy Policy.

Providers act as independent data controllers for personal data received and must: - Use data only to deliver Classes; - Store data securely; - Not market without explicit consent; - Notify Kids Compass of any data breach.

11. Prohibited Conduct

Users and Providers must not: - Misrepresent information; - Circumvent fees or bookings; - Harass, abuse, or endanger others; - Use the Platform unlawfully or commercially without permission; - Interfere with Platform security or operations.

12. Liability, Indemnification & Allocation of Risk

12.1 Platform Liability
To the maximum extent permitted by Thai law, Kids Compass is not liable for acts or omissions of Providers.

12.2 Provider Liability
Providers are solely liable for their Classes, staff, facilities, and compliance with law.

12.3 Liability Cap
Where liability cannot be excluded, Kids Compass’ aggregate liability shall not exceed the total amount paid to Kids Compass by the User in the three (3) months preceding the claim.

12.4 Indemnification
Users and Providers agree to indemnify and hold Kids Compass harmless from claims arising from their breach of these Terms or violation of law.

13. Suspension & Termination

Kids Compass may suspend or terminate accounts for breach, safety concerns, legal non-compliance, fraud, or misuse, subject to reasonable notice where required by law.

Termination may result in forfeiture of unused credits or future bookings, subject to mandatory consumer rights.

14. Amendments

Kids Compass may amend these Terms from time to time. Continued use after notice constitutes acceptance, subject to Thai consumer protection requirements.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand.

The parties agree to: 1. Attempt informal resolution; 2. Engage in good-faith mediation in Bangkok; 3. Submit unresolved disputes to the courts of Thailand, with the Bangkok Civil Court having non-exclusive jurisdiction.
